ADVERTISING TERMS & CONDITIONS
Acceptance of Advertisements
i. These Terms and Conditions apply to all advertisements provided to NK Media Ltd (“The Company”) for publishing in Business & Innovation Magazine, any other magazine published by NK Media limited, NK Media’s online Business & Innovation magazine website
ii. www.businessinnovationmag.co.uk , or programmes or any other published material produced in association with The Company’s events brand NK Media Live.
iii. An Advertisement is defined as any promotional material provided to NK Media Ltd by the Advertiser, or on behalf of the Advertiser by a third party acting on their behalf.
iv. NK Media Ltd is a company registered in England & Wales under number 10569394. The company is registered at Mcgills, Oakley House, Tetbury Road, Cirencester, Gloucestershire, GL7 1US.
v. An advertisement or sponsorship booking will be deemed to have been made when NK Media Ltd confirms the advertisement booking in writing to The Advertiser and provides The Advertiser with a NK Media Ltd unique reference number (URN) and these Terms and Conditions
vi. The Terms and Conditions will be supplied by NK Media Ltd to the Advertiser on confirmation of booking
vii. By accepting NK Media Ltd.’s quotation for advertising the Advertiser will also be deemed to have accepted these Terms and Conditions as supplied.
viii. These Terms and Conditions represent the entire agreement between NK Media Ltd and The Advertiser.
i. All NK Media Ltd invoices must be settled in full within the terms as set out on The Company’s invoices (usually 20 days but may be sooner), unless other written credit terms have been previously agreed.
ii. NK Media Ltd reserves the right to refuse publication of an advertisement if The Advertiser has exceeded its credit terms with The Company and monies are owing.
iii. Outstanding balances will be payable immediately and interest may be levied on the overdue amount in line with the UK’s Late Payment of Commercial Debts (Interest) Act 2013.
iv. In the event of an Advertiser querying an invoice, the payment terms of the invoices still apply, but The Company will take all reasonable steps to respond to the query in a timely way.
i. All advertising cancellations must be received in writing from The Advertiser by The Company, with The Advertiser giving at least four weeks’ notice prior to the given advertising deadline.
ii. NK Media Ltd reserves the right to charge the full booked advertising rate on any cancellations received after this time.
Advertising code of standard compliance
i. All advertisements supplied to NK Media Ltd by The Advertiser must be compliant with the latest standards as set out by the Advertising Standards Authority (www.asa.org.uk ). The broad standards as set out by the ASA in its Code of Advertising Practice, are set out below, but it is the responsibility of The Advertiser to make themselves aware of the latest regulations as set out by the ASA.
a. Advertising communications should be legal, decent, honest and truthful.
b. The Advertiser must ensure that its advertisement does not contravene any Act of Parliament. It must not be illegal, defamatory or infringe the rights of any third party.
c. Advertising communications must reflect the spirit, not merely the letter, of the Code.
d. Advertising communications must be prepared with a sense of responsibility to consumers and to society.
e. Advertising must comply with all general rules and with relevant sector-specific rules.
f. No Advertising communication should bring advertising into disrepute.
g. Advertising communications must respect the principles of fair competition generally accepted in business.
h. Advertising communications must comply with the ASA Code. Primary responsibility for observing the ASA Code falls on Advertisers.
i. Advertising communications must be obviously identifiable as such.
j. Marketers must make clear that advertorials are marketing communications; for example, by heading them “advertisement feature”.
ii. All Advertisements supplied for publication on the NK Media website will also adhere to the latest ASA standards as set out on its website www.asa.org.uk
a. Advertising must comply with all relevant UK data protection legislation.
b. Advertising supplied must not contain any data-capture software, malware or viruses
c. Where the NK Media Ltd website carries links to websites or other on-line resources provided by The Advertiser, these links are provided for information only. NK Media Ltd accepts no responsibility or liability for third party content. The Company does not endorse, approve or promote any third party on-line content accessed via NK Media Ltd websites and those clicking through to third party resources are advised to check the terms and conditions of third party websites accessed via NK Media Ltd websites entirely at their own risk.
iii. The Company reserves the right to refuse to publish an advertisement if, in The Company’s opinion, it does not meet the ASA standards, as set out on the ASA website. However, the Advertiser will still incur the full cost of the booked advertising space.
iv. If a complaint about an advertisement is made by a third party after publication and that complaint is upheld legally or by NK Media Ltd or is deemed in breach of the UK’s Advertising Standards Code of Practice, The Advertiser agrees to indemnify The Company against any resulting legal or other action.
Supply of Advertising and Promotional Material
i. Advertising copy must meet the technical advertisement requirements supplied by NK Media Ltd and must be received by The Company’s stated deadline. Failure to do will still incur the full cost of the booked advertising space.
ii. The advertisement must meet the stated conditions as set out in point 2 above.
iii. In the event of advertising copy or finished artwork not being supplied by the stated due date, The Company reserves the right to repeat copy or artwork previously supplied.
iv. The Company will not accept responsibility for changes to copy requested after artwork has been supplied, or after the deadline. However, The Company will make all reasonable efforts to change copy before the magazine goes to print if they are confirmed in writing by The Advertiser or third party acting on behalf of The Advertiser. NK Media Ltd reserves the right to charge for any additional expenses incurred.
v. NK Media Ltd is not responsible for any loss or damage to artwork, including editorial or images, or any other marketing or other material supplied by The Advertiser.
vi. NK Media Ltd is not responsible for holding any artwork or other promotional material supplied by The Advertiser after the advertisement has appeared or the promotional or sponsored event has taken place.
i. The copyright of all designs, editorial copy and images, including those commissioned by NK Media Ltd, used within the publication is retained by NK Media Ltd.
ii. No part of the magazine, including advertisements designed or adapted by NK Media Ltd from artwork or content provided by The Advertiser, can be reproduced elsewhere without the written consent of NK Media Ltd.
iii. Any data collected by The Company as a result of the publication of the Advertisement shall remain the property of NK Media Ltd and will be subject to the UK Data Protection Act.
i. NK Media Ltd is not responsible for mistakes or inaccuracies in the content of an advertisement, including editorial, typographical or photographic, that has been approved by The Advertiser prior to publication either in print or online.
ii. In the case of online advertising, it is the responsibility of The Advertiser to ensure all relevant, approved and legal links work before submission to The Company.
iii. The Advertiser shall indemnify and keep indemnified The Company against all proceedings, claims, damages, demands, costs or any other expenses or liabilities arising as a result of the publication in print or on line of the advertisement supplied or approved by The Advertiser.
i. In no event shall The Company, or those acting legally on its behalf, be responsible or liable for any failure or delay in the performance of its obligations to The Advertiser arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services, it being understood that the Company shall use reasonable best efforts which are consistent with accepted practices in the publishing industry to resume performance as soon as practicable under the circumstances.
